These Terms of Service ("Terms") are an agreement between you and Server Host Inc., doing business as MaxLabs ("MaxLabs", "we", "us", or "our"). They govern your access to and use of MaxLabs websites, models, software, Desktop, CLI, subscriptions, enterprise services, APIs, documentation, and related services (collectively, the "Services").
By creating an account, purchasing or using a Service, clicking to accept these Terms, or using the Services after being notified of updated Terms, you agree to these Terms, our Acceptable Use Policy ("AUP"), and acknowledge our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility and authority
You must be at least 19 years old and legally able to enter into a binding agreement to use the Services. If you use the Services for a company, organisation, or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.
You may use the Services only where they are legally offered and in compliance with applicable law, including export-control and sanctions laws.
2. Accounts and organisation access
You must provide accurate account information and keep it current. You are responsible for protecting login credentials, API keys, devices, and recovery methods, and for all activity under your account. Do not share credentials or make an individual account available to another person. Notify support@cenmax.in promptly if you suspect unauthorised access.
Organisation administrators may add or remove users, allocate quotas, approve additional usage, restrict access, and view account and usage information. If an organisation provides your account, it may control that account and its Customer Content.
3. Access to the Services
Subject to these Terms, MaxLabs grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during the applicable subscription, credit, or order period. MaxLabs and its licensors retain all rights in the Services, models, software, designs, documentation, systems, and related intellectual property that are not expressly granted to you.
Software may update automatically. Components distributed under an open-source licence are governed by that licence. Third-party software, integrations, websites, or services are governed by their own terms, and MaxLabs is not responsible for them.
4. Your content and model output
You may submit prompts, files, code, repository context, tool output, API data, and other materials ("Input") and receive text, code, tool calls, or other results ("Output"). Input and Output together are "Customer Content".
You retain your ownership rights in Input. As between you and MaxLabs, and to the extent permitted by law, you own Output, and MaxLabs assigns to you any rights it may have in that Output. You grant MaxLabs and its service providers a worldwide, limited right to host, process, transmit, cache, reproduce, and otherwise use Customer Content only as needed to provide, secure, support, enforce, and improve the Services as described in our Privacy Policy.
You represent that you have all rights and permissions necessary to submit Input and permit its processing. Output may be incomplete, inaccurate, insecure, offensive, or unsuitable, and it may not be unique. Other users may receive similar Output. You are responsible for evaluating Output and ensuring that your Customer Content and use of it comply with law and do not violate another person's rights.
5. Automated actions and developer responsibility
MaxLabs can read files, propose or make edits, execute commands, call tools, and interact with development environments when you enable or approve those capabilities. AI models are bound to make mistakes. You accept full responsibility for instructions you provide, permissions you grant, actions you approve or automate, and the resulting impact on code, systems, data, users, and third parties.
You must review important Output, use suitable access controls and test environments, maintain current backups, protect secrets, monitor automated workflows, and independently test changes before production use. Do not rely on Output as the sole source of truth or as a substitute for qualified professional advice.
6. Subscriptions, quotas, and payment
Subscriptions
Paid subscriptions are billed in advance and automatically renew each month until cancelled. By subscribing, you authorise MaxLabs and its payment provider to charge the payment method on file for each renewal, applicable taxes, and authorised overages. You may cancel before the renewal date. Cancellation stops future renewals, and access continues through the end of the paid billing period.
Refunds
Payments are non-refundable except where required by law. MaxLabs may, in its sole discretion and on a case-by-case basis, issue a full or prorated refund or credit. A discretionary refund in one case does not create a right to a refund in another. No refund is available for an account suspended or terminated for violating these Terms or the AUP.
Quota and overages
Subscription quotas reset at the stated interval. Unused quota does not roll over, transfer between accounts, have cash value, or reduce a future payment. If you enable usage beyond your included quota, you authorise the corresponding usage-based charges.
Prepaid API credit
Pay-as-you-go API use is funded with prepaid credit. Credit does not expire, but it is not legal tender, cannot be redeemed for cash, and cannot be transferred or resold. If you enable automatic refill, you authorise us to charge the selected payment method whenever your balance reaches the threshold you configure. You are responsible for monitoring usage, balances, refill settings, and API-key security.
Prices, taxes, and failed payment
Prices are shown before purchase and may change for a future billing period with reasonable notice. You are responsible for applicable taxes other than taxes on MaxLabs's income. We may restrict paid features for a failed, reversed, disputed, or overdue payment and may recover reasonable collection and chargeback costs where permitted by law.
7. Enterprise and API use
You may use the API to build applications, chatbots, internal tools, and automated agents. You remain responsible for your application, end users, notices, permissions, security, support, and compliance. You may not resell raw MaxLabs access, share API keys, bypass technical or billing limits, or represent that your service is MaxLabs or endorsed by MaxLabs without written permission.
A signed order form, master services agreement, data processing agreement, service-level agreement, or other negotiated contract controls over these Terms if it expressly conflicts with them. Otherwise, these Terms continue to apply.
8. Acceptable use
You must follow the MaxLabs Acceptable Use Policy and ensure that your users do the same. We may investigate suspected misuse and take proportionate action, including limiting Output, blocking a request, restricting a feature, suspending access, or terminating an account.
9. Feedback
If you voluntarily provide product ideas, suggestions, or other feedback, you grant MaxLabs a perpetual, worldwide, irrevocable, royalty-free right to use it without restriction or compensation. This does not transfer ownership of your Customer Content.
10. Availability, changes, and beta features
Published uptime figures describe measured historical performance and are not a promise of future availability. No service-level commitment applies unless it is expressly included in a signed enterprise agreement. The Services may experience latency, errors, capacity limits, maintenance, provider outages, or interruptions.
We may add, change, limit, or discontinue features, models, limits, pricing, or Services. We will provide reasonable notice of a material adverse change when practical, but urgent security, legal, provider, or abuse-related changes may take effect immediately. Preview, experimental, or beta features may change or end without notice and may be less reliable.
11. Suspension and termination
You may stop using the Services at any time and may cancel a subscription as described above. We may immediately limit or suspend access when reasonably necessary to address suspected fraud, non-payment, a security risk, legal requirements, harm to MaxLabs or others, or a serious or repeated violation of these Terms or the AUP. We may terminate access if the issue is not curable, is not cured after notice where notice is practical, or presents an urgent risk.
Suspensions and terminations for violation are not refundable. You may appeal a decision by emailing support@cenmax.in. We may preserve information as required by law or reasonably needed to investigate misuse. Provisions that by their nature should survive—including payment obligations, ownership, disclaimers, liability limits, indemnity, and dispute terms—survive termination.
12. Copyright complaints
If you believe material processed or made available through the Services infringes your copyright, send a notice to support@cenmax.in identifying the protected work, the allegedly infringing material and its location, your contact details, a good-faith statement, a statement that the information is accurate and that you are authorised to act, and your physical or electronic signature. We may remove material and terminate repeat infringers where appropriate.
13. Disclaimers
To the maximum extent permitted by law, the Services and Output are provided “as is” and “as available.” MaxLabs and its suppliers disclaim all express, implied, statutory, and other warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted or error-free operation.
MaxLabs does not warrant that Output is correct, safe, unique, legally compliant, or fit for production. You use the Services and Output at your own risk. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
14. Limitation of liability
To the maximum extent permitted by law, MaxLabs, its affiliates, suppliers, licensors, and personnel will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, goodwill, business opportunity, data, or use, even if advised that such damages were possible.
To the maximum extent permitted by law, their total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid MaxLabs for the affected Services during the three months immediately before the event giving rise to the claim or (b) US $100.
These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be limited.
15. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless MaxLabs, its affiliates, suppliers, and personnel from third-party claims, losses, liabilities, damages, and reasonable legal fees arising from your Customer Content, application or end users; your misuse of the Services; your violation of these Terms, the AUP, or law; or your infringement of another person's rights. This obligation does not apply to the extent a claim was caused by MaxLabs's own unlawful conduct.
16. Binding arbitration and class-action waiver
Please read this section carefully. It requires most disputes to be resolved through binding individual arbitration and limits how you may seek relief.
Before starting arbitration, the complaining party must send a written dispute notice describing the claim and requested resolution. Notices to MaxLabs must be sent to support@cenmax.in and Server Host Inc., 1309 Coffeen Ave., Sheridan, WY 82801, United States. The parties will attempt in good faith to resolve the dispute informally for 30 days.
If unresolved, any dispute arising from these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules or Commercial Arbitration Rules. The Federal Arbitration Act governs this section. Hearings may occur by video, telephone, or in Sheridan County, Wyoming. The arbitrator may award any individual remedy available in court and will issue a reasoned written decision.
Disputes must proceed only on an individual basis. Neither party may bring or participate in a class, consolidated, representative, or private-attorney-general action, and the arbitrator may not combine claims without every party's written agreement.
Either party may bring an eligible individual claim in small-claims court. Either party may also seek temporary or injunctive relief in court to protect intellectual property, confidential information, or the security and integrity of the Services.
You may opt out of this arbitration section by emailing support@cenmax.in within 30 days after you first accept these Terms. Your notice must include your name, account email, and an unambiguous statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
17. Governing law
Except for the Federal Arbitration Act and laws that cannot be waived, Wyoming law governs these Terms without regard to conflict-of-law principles. If a dispute is not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state or federal courts serving Sheridan County, Wyoming.
18. Changes to these Terms
We may update these Terms as the Services or law change. We will post the updated version and revise the "Last updated" date. We will provide reasonable email or in-product notice before a material adverse change when practical. Urgent security, abuse-prevention, provider, or legal changes may take effect immediately. Continued use after the effective date means you accept the updated Terms; if you do not agree, you must stop using the Services.
19. General
These Terms, the AUP, the Privacy Policy, and any applicable order form or signed agreement constitute the agreement concerning the Services. You may not assign these Terms without our written consent. We may assign them to an affiliate or successor. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. Headings are for convenience only.
